Terms of Service

Welcome to Quartal.

These Terms of Service govern your access to and use of Quartal.io, our web application, and the related services we provide, collectively called the "Service."

By creating an account, joining a workspace, uploading content, or otherwise using Quartal, you agree to these Terms.

If you do not agree, please do not use the Service.

1. What Quartal does

Quartal is rehearsal software for choirs, bands, ensembles, and music teams.

The Service allows users to upload musical source material, organize songs in shared workspaces, invite other members, and use interactive tools to help learn music before a rehearsal or performance.

Depending on the features available to you, source material may include sheet music, music charts, photographs, MusicXML files, audio recordings, videos, and similar musical materials.

Quartal may process those materials into scores, playback, vocal guides, instrument views, tablature, fingerings, structured music data, and other rehearsal materials.

2. Who may use Quartal

You must be at least 13 years old to create or use a Quartal account.

If you are under the age of legal majority where you live, you may use Quartal only with permission from a parent or legal guardian.

Quartal is not directed to children under 13. Do not create an account for, or invite, a child under 13 unless Quartal has expressly approved an arrangement designed to comply with applicable children's privacy laws.

If you use Quartal on behalf of an organization, choir, school, church, ensemble, company, or other group, you represent that you have authority to accept these Terms on its behalf.

3. Your account

You are responsible for the activity that takes place through your account.

Please provide accurate account information and keep your sign-in credentials secure.

You may not:

  • Share credentials in a way that compromises account security
  • Impersonate another person
  • Create accounts for deceptive or fraudulent purposes
  • Use another person's account without authorization
  • Attempt to bypass account, workspace, or usage limits

4. Workspaces and team accounts

Quartal allows users to create and join shared workspaces.

A workspace owner or authorized director may be able to invite members, assign roles, manage songs, change workspace settings, remove members, and delete workspace content.

If you join a workspace created by someone else, that workspace may be controlled by its owner or organization.

Information you contribute to a workspace may remain associated with that workspace even if you later leave it, where necessary to preserve the shared workspace or as permitted by law.

Workspace owners are responsible for inviting people appropriately and for having any permissions required to provide their contact information to Quartal.

5. Your music and other content

You keep the rights you have in the music, files, photographs, recordings, videos, profile information, and other material you upload or submit to Quartal. We call this "Your Content."

Quartal does not take ownership of Your Content.

But we need permission to process it for you.

By uploading or submitting Your Content, you grant Quartal a worldwide, non-exclusive, royalty-free license to host, store, copy, process, convert, analyze, transmit, display, and otherwise use Your Content as reasonably necessary to:

  • Provide the Service
  • Generate the rehearsal materials and views you request
  • Make Your Content available to authorized members of your workspace
  • Maintain, troubleshoot, secure, and improve Quartal
  • Prevent abuse and enforce these Terms

This license does not give Quartal ownership of the underlying music.

The license ends when Your Content is deleted from the Service, except where copies must temporarily remain in backups, logs, legal records, or systems used for security and fraud prevention.

6. You must have permission to upload the music

Quartal is a tool for working with music you provide.

We do not grant you copyright, performance, reproduction, distribution, synchronization, mechanical, or other rights in music owned by someone else.

You are responsible for making sure you have the rights, licenses, permissions, or other legal basis needed to upload, process, share, and use Your Content through Quartal.

This applies to material such as:

  • Commercial recordings
  • Sheet music
  • Music charts
  • Arrangements
  • Lyrics
  • Videos
  • MusicXML files
  • Rehearsal recordings
  • Other copyrighted material

Do not use Quartal to distribute or process content in a way that violates someone else's intellectual property rights.

7. Materials Quartal generates

Quartal may generate or display scores, transcriptions, playback, vocal parts, tablature, fretboard positions, piano visualizations, fingerings, musical analysis, and other materials based on Your Content.

We call these "Generated Materials."

Generated Materials are provided as rehearsal aids.

They may contain mistakes.

Music recognition, transcription, voice assignment, fingering suggestions, pitch interpretation, rhythm interpretation, and other automated or generated results may not always match the original performance, score, or intended arrangement.

You are responsible for reviewing Generated Materials before relying on them for a rehearsal or performance.

Quartal does not guarantee that Generated Materials are musically, technically, or legally accurate.

Nothing about the creation of Generated Materials gives you new rights in copyrighted music that you did not already have.

8. Quartal's intellectual property

Quartal and its licensors own the Service itself, including our software, interface, design, branding, systems, code, technology, workflows, models, algorithms, templates, and other materials that are not Your Content.

These Terms give you permission to use the Service. They do not transfer ownership of Quartal's intellectual property to you.

You may not copy, reverse engineer, resell, sublicense, scrape, or exploit the Service except where applicable law expressly allows it.

You may not use Quartal's name, trademarks, logos, or branding without our permission.

9. Acceptable use

Please use Quartal for its intended purpose.

You may not use the Service to:

  • Violate any law or regulation
  • Infringe copyright, trademark, privacy, publicity, or other rights
  • Upload malware or harmful code
  • Attempt unauthorized access to another account, workspace, system, or network
  • Interfere with the operation or security of the Service
  • Circumvent technical or usage restrictions
  • Scrape or systematically extract data from Quartal without permission
  • Use automated systems in a way that places unreasonable load on the Service
  • Harass, threaten, exploit, or harm another person
  • Upload unlawful or intentionally harmful content
  • Misrepresent your identity or affiliation
  • Use Quartal to build or train a competing service by systematically extracting Quartal's software, outputs, interface, or proprietary functionality

We may investigate suspected abuse and restrict or suspend accounts when reasonably necessary to protect Quartal or its users.

10. Copyright complaints

We respect intellectual property rights.

If you believe material available through Quartal infringes your copyright, contact:

Please include enough information for us to understand and investigate the complaint, including:

  • Identification of the copyrighted work
  • Identification of the material you believe is infringing
  • Information reasonably sufficient for us to locate the material
  • Your name and contact information
  • A statement explaining why you believe the use is unauthorized
  • A statement that the information you provide is accurate
  • Your physical or electronic signature

We may remove or restrict access to content while reviewing a complaint.

We may also suspend or terminate accounts of users who repeatedly infringe intellectual property rights where appropriate.

11. Privacy

Our collection and use of personal information is described in the Quartal Privacy Policy.

By using Quartal, you acknowledge that your information will be handled as described in that policy.

12. The pilot

Quartal currently offers a free pilot.

During the pilot, we may:

  • Add, remove, or change features
  • Adjust technical or usage limits
  • Test new product experiences
  • Fix or replace features that do not work as intended
  • Change how the Service is packaged for future plans

The pilot does not guarantee that every current feature will remain permanently free.

We will not charge you merely because you participated in the free pilot. If Quartal introduces paid plans, you will be shown the applicable price and terms before you authorize a purchase.

13. Availability and changes to the Service

We want Quartal to be reliable, but we cannot promise uninterrupted availability.

The Service may occasionally be unavailable because of maintenance, software issues, infrastructure problems, third-party services, updates, or circumstances outside our control.

We may improve, modify, discontinue, or replace features over time.

Where reasonable, we will try to avoid changes that unnecessarily interfere with your ability to access your own content.

14. Third-party services

Quartal relies on third-party services for parts of its operation, such as hosting, storage, authentication, email delivery, music processing, analytics, and infrastructure.

Those providers may have their own terms and privacy practices.

Quartal is not responsible for third-party products or services that you independently choose to use outside Quartal.

15. Feedback

We appreciate feedback.

If you send us ideas, suggestions, bug reports, product requests, or other feedback about Quartal, you give us permission to use that feedback without restriction or compensation to you.

This does not give us ownership of Your Content.

16. Suspension and termination

You may stop using Quartal at any time.

You may also delete content, leave eligible workspaces, or delete your account using available product controls or by contacting us.

We may suspend or terminate access if we reasonably believe you:

  • Materially violated these Terms
  • Used Quartal unlawfully
  • Created a security risk
  • Repeatedly infringed intellectual property rights
  • Abused the Service or other users
  • Created significant technical or legal risk for Quartal

When reasonable, we will try to give notice before terminating an account unless immediate action is necessary for security, legal, or abuse reasons.

17. Disclaimer of warranties

To the fullest extent permitted by law, Quartal is provided "as is" and "as available."

We do not make warranties that the Service will always be available, error-free, secure, or perfectly accurate.

In particular, Quartal does not guarantee the accuracy of musical recognition, transcription, playback, note assignments, tablature, fingerings, or other Generated Materials.

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

18. Limitation of liability

To the fullest extent permitted by law, Quartal and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the Service.

This includes, where permitted by law, loss of data, loss of revenue, loss of profits, interruption of rehearsals or performances, or reliance on inaccurate Generated Materials.

To the fullest extent permitted by law, Quartal's total liability for claims relating to the Service will not exceed the greater of:

  1. The amount you paid Quartal during the 12 months before the event giving rise to the claim, or
  2. $100.

Nothing in these Terms limits liability that cannot legally be limited.

19. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold Quartal harmless from third-party claims, damages, liabilities, and reasonable costs arising from:

  • Your Content
  • Your unlawful use of the Service
  • Your infringement of another person's rights
  • Your material violation of these Terms

This section does not require you to indemnify Quartal for Quartal's own unlawful conduct.

20. Changes to these Terms

Quartal will change as the product develops, so these Terms may change too.

If we make a material change, we will provide reasonable notice through the Service, by email, or by another appropriate method.

The updated Terms will state their effective date.

Your continued use of Quartal after updated Terms take effect means you agree to the revised Terms, where permitted by law.

21. General terms

If a court finds part of these Terms unenforceable, the remaining provisions will continue in effect.

Our failure to enforce a provision does not waive our right to enforce it later.

You may not transfer your rights under these Terms without our consent. Quartal may transfer these Terms as part of a merger, acquisition, financing, reorganization, sale of assets, or similar transaction.

These Terms, together with the Privacy Policy and any additional terms presented for a specific paid plan or feature, form the agreement between you and Quartal concerning the Service.

22. Governing law

Except where applicable law requires otherwise, these Terms will be governed by the laws of the State of Delaware, without regard to conflict-of-law rules.

Any dispute that is not resolved informally will be brought in the state or federal courts located in New Castle County, Delaware, and the parties consent to the jurisdiction of those courts.
